1. Agreement to Terms
By accessing or using the GetGreenr website (https://getgreenr.com , www.getgreenr.com) and related services (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
GetGreenr operates an online platform that facilitates two core services:
- Device Trade-In and Buyback Services: enabling users (“Users” or “you”) to submit electronic devices for valuation, inspection, and potential purchase by third-party vendors (“Vendors”); and
- Marketplace Services: enabling Users to purchase refurbished or second-hand electronic devices listed by independent Vendors through our platform.
We act solely as a platform intermediary that connects Users and Vendors. While we may facilitate communication, listings, payments, logistics coordination, and appointment scheduling, we are not the seller or buyer of goods in transactions between Users and Vendors unless explicitly stated otherwise. Each transaction is ultimately between the User and the relevant Vendor, who is responsible for the fulfilment of their obligations.
3. User Eligibility
You must be at least 18 years of age and capable of forming legally binding contracts to use our Service. By using the Service, you represent and warrant that:
- You meet the eligibility requirements above
- All information you provide is accurate, complete, and current
- You will not use the Service for any fraudulent, unlawful, or unauthorised purposes, including misrepresentation of device ownership or condition
We reserve the right to suspend or terminate access if we reasonably believe these requirements are not met.
4. Account Registration
4.1 Account Creation
To access certain features of our Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to promptly update such information to ensure it remains accurate and complete. You are responsible for ensuring that any information provided to us, including device-related information submitted for trade-in or marketplace transactions, is truthful and not misleading.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorised by you. You agree to notify us immediately if you suspect any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
4.3 Account Suspension and Termination
We reserve the right to suspend, restrict, or terminate your account at our sole discretion if we reasonably believe that:
- you have violated these Terms
- you have provided false, misleading, or incomplete information
- you have engaged in fraudulent, abusive, or unlawful activity
- your use of the Service poses a risk to us, other Users, or Vendors
We may also restrict access to certain features of the Service during investigations into suspected misuse.
4.4 Prohibited Use of Account
You agree not to use your account or the Service to:
- misrepresent ownership, condition, or authenticity of any device
- submit stolen, counterfeit, or illegally obtained goods
- engage in fraudulent, deceptive, or abusive behaviour
- interfere with the operation or security of the Service
We reserve the right to take appropriate action, including reporting suspected illegal activity to relevant authorities.
5. Use of Service
5.1 Permitted Use
You may use our Service solely for lawful purposes and in accordance with these Terms. Depending on the features available to you, permitted use includes:
- Scheduling and managing appointments with Vendors
- Viewing information about products and Vendors available on the marketplace
- Communicating with Vendors or GetGreenr regarding potential or ongoing transactions
- Listing, evaluating, purchasing, or selling electronic devices through the Service
5.2 Prohibited Use
You agree not to use the Service for any unlawful, fraudulent, or abusive purposes, including but not limited to:
- Using the Service for any illegal or unauthorised purpose or in violation of applicable laws
- Buying, selling, or facilitating the sale of stolen, counterfeit, or illegally obtained goods
- Providing false, misleading, or incomplete information about any device, including its ownership or condition
- Impersonating any person or entity or misrepresenting your affiliation
- Attempting to gain unauthorised access to the Service, systems, or related networks
- Transmitting viruses, malware, or any harmful code
- Interfering with or disrupting the operation or security of the Service
- Using automated systems (including bots, scrapers, or crawlers) to access or extract data without our prior written consent
- Circumventing or attempting to bypass platform processes, including pricing, listing, or appointment systems
- Repeatedly failing to attend scheduled appointments without valid reason
- Booking appointments or initiating transactions without genuine intent to complete them
- Using the Service for competitive analysis or market research without our prior written consent
- Selling items on behalf of minors or items owned by minors without proper legal authorisation
We reserve the right to monitor usage of the Service and take appropriate action, including suspension or termination of access, where we reasonably suspect any prohibited activity.
5.3 Ownership Representation
By listing, submitting, or offering any item through the Service, you represent and warrant that:
- You are the legal owner of the item or have full legal authority to sell it
- The item is not stolen, counterfeit, or unlawfully obtained
- You have full right and authority to transfer ownership of the item
- The item is not subject to any liens, encumbrances, or third-party claims
You acknowledge that you are solely responsible for any misrepresentation of ownership or condition and that we may take appropriate action, including suspension of your account or reporting to relevant authorities.
6. Vendor Relationships
6.1 Independent Third Parties
Vendors are independent third parties and not employees, agents, or representatives of GetGreenr. We do not control and are not responsible for Vendor actions, omissions, communications, pricing decisions, or fulfilment of transactions. Vendors are solely responsible for the pricing, condition assessment, fulfilment, and completion of all transactions with Users.
6.2 No Guarantee of Transactions
GetGreenr does not guarantee that any transaction will be completed between you and a Vendor. We do not guarantee any specific prices, offers, or outcomes from appointments scheduled through our Service.
6.3 Price Estimates and Quotations
Any prices, estimates, or quotations displayed on our Service or provided by Vendors are preliminary and non-binding. Final prices are determined by Vendors upon physical inspection of the relevant item. In the event of a revised final offer, you may accept or reject the updated offer. If you reject the final offer, no transaction will be completed. GetGreenr is not responsible for differences between estimated and final prices.
6.4 Direct Dealings
Your interactions and transactions with Vendors are solely between you and the Vendor. GetGreenr is not responsible for resolving disputes between Users and Vendors, although we may provide reasonable assistance at our discretion.
7. Content and Intellectual Property
7.1 Our Content
All content on the Service, including text, graphics, logos, images, and software, is the property of GetGreenr or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7.2 User Content
By submitting any content to our Service, you grant GetGreenr a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content solely for the purpose of operating, improving, and promoting the Service.
7.3 Accuracy of Information
You represent and warrant that all information you provide, including information relating to any electronics submitted for buyback or sale, is accurate, complete, and not misleading.
8. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable data protection laws, including the Personal Data Protection Act. By using our Service, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy.
9. Appointment Policies
9.1 Appointment Booking
When you book an appointment through our Service, you agree to attend at the scheduled time or provide reasonable advance notice of cancellation.
9.2 No-Show Policy
GetGreenr reserves the right, at its sole discretion, to suspend or restrict accounts of Users who repeatedly fail to attend scheduled appointments without valid cancellation. We may also implement booking restrictions or share relevant no-show information with affected Vendors.
9.3 Appointment Modifications
Any changes to scheduled appointments should be made through our Service with reasonable notice to avoid inconvenience to Vendors.
10. Disclaimers
10.1 Service Availability
The Service is provided on an “as is” and “as available” basis without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure operation of the Service.
10.2 No Professional Advice
Information provided through the Service is for general informational purposes only and does not constitute professional advice regarding valuation, condition, or pricing of electronics.
10.3 Third-Party Links
Our Service may contain links to third-party websites or services not owned or controlled by GetGreenr. We are not responsible for the content, policies, or practices of such third parties.
11. Cooperation with Law Enforcement
We may cooperate fully with law enforcement authorities, regulatory bodies, or court orders requesting information relating to suspected illegal activity or breaches of these Terms. We are not liable for any actions taken in good faith in response to such requests.
12. Limitation of Liability
To the maximum extent permitted by law, GetGreenr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses arising from:
- Your use or inability to use the Service
- Any transactions or interactions with Vendors, including without limitation disputes or fulfilment issues
- Unauthorized access to or alteration of your data
- Any other matter relating to the Service
In no event shall GetGreenr’s total liability exceed SGD $100 or the total amount paid by you to GetGreenr in the past twelve (12) months, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless GetGreenr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any disputes with Vendors
- Any claims arising from items you submit, sell, or attempt to sell through the Service
- Any investigation, claim, or enforcement action arising from your misuse of the Service or breach of these Terms
14. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, labour disputes, or failures of utilities or internet services.
15. Termination
15.1 Termination by You
You may terminate your account at any time by contacting help@getgreenr.com
15.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have breached these Terms or engaged in fraudulent, abusive, or unlawful conduct.
15.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall remain in effect.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of Singapore.
16.2 Arbitration
These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC), in accordance with its rules. Either party may seek injunctive or equitable relief in any competent court.
16.3 Class Action Waiver
Disputes shall be resolved on an individual basis only and not as part of any class or representative action.
17. General Provisions
17.1 Governing Law
These Terms constitute the entire agreement between you and GetGreenr regarding the Service.
17.2 Modifications
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of the Service constitutes acceptance of the revised Terms.
17.3 Waiver
Failure to enforce any provision shall not constitute a waiver of that provision.
17.4 Severability
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.5 Assignment
You may not assign these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
