By accessing or using the GetGreenr website (www.getgreenr.com) and services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

GetGreenr operates as an online platform and brokerage service that connects users ("Users" or "you") with third-party vendors ("Vendors") who purchase refurbished consumer electronics. We facilitate appointment scheduling and communication but are not a party to the actual purchase transactions between Users and Vendors.

3. User Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

4.1 Account Creation

To access certain features of our Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Use of Service

5.1 Permitted Use

You may use our Service solely for lawful purposes and in accordance with these Terms. You agree to use the Service only to:
  • Schedule appointments with Vendors for selling refurbished electronics
  • Access information about our partnered Vendors
  • Communicate with Vendors regarding potential transactions

    • 5.2 Prohibited Use

    You agree NOT to:
  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction, including the sale of stolen goods
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or networks
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service
  • Collect or harvest any personally identifiable information from the Service
  • Use automated systems or software to extract data from the Service
  • Circumvent or attempt to circumvent the appointment booking process
  • Submit false or misleading information about electronics or their condition
  • Sell or attempt to sell any items you do not legally own
  • Sell items on behalf of minors or that belong to minors without proper authorization
  • Use the Service if you are a competitor for market research or competitive intelligence
  • Book appointments without genuine intention to complete transactions
  • Repeatedly fail to attend scheduled appointments without valid reason

    • 5.3 Ownership Representation

    By listing or presenting any electronics for sale through our Service, you represent and warrant that:
  • You are the legal owner of the items or have explicit authorization to sell them
  • The items are not stolen, counterfeit, or obtained illegally
  • You have the legal right and capacity to transfer ownership
  • The items are not subject to any liens, encumbrances, or third-party claims

    • 6. Vendor Relationships

    6.1 Independent Third Parties

    Vendors are independent third parties and not employees, agents, or representatives of GetGreenr. We do not control and are not responsible for Vendor actions, omissions, or communications.

    6.2 No Guarantee of Transactions

    GetGreenr does not guarantee that any transaction will be completed between you and a Vendor. We do not guarantee any specific prices, offers, or outcomes from appointments scheduled through our Service.

    6.3 Price Estimates and Quotations

    Any prices, estimates, or quotations displayed on our Service or provided by Vendors through our platform are preliminary estimates only and are not binding. Final prices are determined solely by Vendors upon physical inspection of your electronics. Vendors may adjust their offers based on the actual condition, specifications, functionality, and authenticity of your items. GetGreenr is not responsible for any difference between estimated and final prices.

    6.4 Direct Dealings

    Your interactions and transactions with Vendors are solely between you and the Vendor. GetGreenr is not responsible for resolving disputes between Users and Vendors.

    7. Content and Intellectual Property

    7.1 Our Content

    All content on the Service, including text, graphics, logos, images, and software, is the property of GetGreenr or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

    7.2 User Content

    By submitting any content to our Service, you grant GetGreenr a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with operating and promoting the Service.

    7.3 Accuracy of Information

    You represent and warrant that all information you provide about electronics you wish to sell is accurate, complete, and not misleading.

    8. Privacy and Data Protection

    Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Singapore Personal Data Protection Act (PDPA) and are committed to protecting your personal data. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information. By using our Service, you consent to our data practices as described in our Privacy Policy.

    9. Appointment Policies

    9.1 Appointment Booking

    When you book an appointment through our Service, you commit to attending at the scheduled time or providing reasonable advance notice of cancellation.

    9.2 No-Show Policy

    GetGreenr reserves the right to suspend or terminate accounts of Users who repeatedly fail to attend scheduled appointments without proper cancellation. We may share information about no-shows with affected Vendors.

    9.3 Appointment Modifications

    Any changes to scheduled appointments should be made through our platform with reasonable notice to avoid inconvenience to Vendors.

    10. Disclaimers

    10.1 Service Availability

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

    10.2 No Professional Advice

    Information provided through the Service is for general informational purposes only and should not be construed as professional advice regarding the value or condition of electronics.

    10.3 Third-Party Links

    Our Service may contain links to third-party websites or services that are not owned or controlled by GetGreenr. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

    11. Cooperation with Law Enforcement

    GetGreenr reserves the right to cooperate fully with law enforcement authorities, regulatory bodies, and court orders requesting or directing us to disclose the identity or other information of any User suspected of selling stolen goods or engaging in illegal activities. You waive and hold harmless GetGreenr from any claims resulting from actions taken by GetGreenr in response to investigations by law enforcement or regulatory authorities.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETGREENR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
  • Your use or inability to use the Service
  • Any transactions or interactions with Vendors
  • Unauthorized access to or alteration of your transmissions or data
  • Any other matter relating to the Service
    • IN NO EVENT SHALL GETGREENR'S TOTAL LIABILITY EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO GETGREENR IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER..

    13. Indemnification

    You agree to indemnify, defend, and hold harmless GetGreenr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any disputes between you and Vendors
  • Any claims related to items you sell or attempt to sell through the Service
  • Any investigation by law enforcement related to your use of the Service

    • 14. Force Majeure

    GetGreenr shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemic, epidemic, quarantine restrictions, government orders, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

    15. Termination

    15.1 Termination by You

    You may terminate your account at any time by contacting us at help@getgreenr.com.

    15.2 Termination by Us

    We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

    15.3 Effect of Termination

    Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

    16. Dispute Resolution

    16.1 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

    16.2 Arbitration

    Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC), except that either party may seek injunctive relief in court.

    16.3 Class Action Waiver

    You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

    17. General Provisions

    17.1 Entire Agreement

    These Terms constitute the entire agreement between you and GetGreenr regarding the use of the Service.

    17.2 Modifications

    We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

    17.3 Waiver

    No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

    17.4 Severability

    If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

    17.5 Assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
